Questions clients ask us
What should be covered by due diligence before buying a Hungarian target company?
Beyond the corporate file and the ownership chain: key contracts, employment and executive arrangements, real estate and lease title, intellectual property, tax audit history, and pending litigation or enforcement. Whatever we find is then dealt with either in the price or in the warranty and indemnity package.
Can a foreign owner set up a Hungarian company without travelling here?
Yes. Incorporation can be handled under a power of attorney with attorney countersignature; foreign documents usually need notarisation or an apostille and a Hungarian translation. Opening the bank account and the ultimate beneficial owner declaration are the two points where the bank normally runs its own identification.
Does a foreign investor need clearance for an acquisition in Hungary?
It depends on the sector the target operates in. In sectors designated as strategic, a foreign investment filing and ministerial acknowledgement are required, and depending on size and market share a merger clearance may also apply. Both filters are worth running before the deal timetable is fixed.
